Why this exists

Most people who receive a share of a sale see one number: the price. The number that matters is what reaches them, after preferred shareholders, SAFEs, debt, escrow and earnouts. In valuation work, that gap between the headline and the cash is the daily question: how a purchase price is allocated across the classes of a capital structure, and why a 20% stake can be worth far more or far less than 20% of the price.

Vivek has spent over a decade valuing private companies and their securities, covering equity allocation and option-pricing methods (OPM, PWERM and back-solve), 409A valuations, and fair value reporting for investment portfolios. He has led and reviewed well over a hundred valuations, built financial models and coached teams of analysts. Waterfall IQ turns the habits of that work into a tool anyone can use: careful ordering of claims, reconciliation of every figure, and explaining each step to a non-specialist.
